Terms of Service

Cliqket is operated by Nerdbeak, Inc. ("Nerdbeak," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Cliqket, websites and applications we operate, and marketplaces, storefronts, checkout flows, dashboards, content tools, community tools, and AI-assisted features powered by Cliqket (collectively, the "Services").

By using the Services, you agree to these Terms. If you use the Services on behalf of a company, marketplace, seller, or other entity, you represent that you have authority to bind that entity.

1. What Cliqket Provides

Cliqket provides software and operational tooling for marketplaces. The Services may include marketplace creation, themes, shops, listings, checkout, payments, seller dashboards, buyer accounts, content, community features, messaging, moderation, analytics, and AI-assisted workflows.

Some marketplaces are operated directly by Nerdbeak. Others are operated by third-party marketplace owners using Cliqket. The marketplace owner may set additional rules for their market, including category rules, seller access, buyer access, fees, shipping, returns, waivers, events, memberships, and community standards.

2. Accounts and Access

You may need an account to use certain parts of the Services. You agree to provide accurate information, keep your credentials secure, and accept responsibility for activity under your account.

• You must be at least 18 years old, or the age of majority in your jurisdiction.
• You may not create accounts for deceptive, abusive, or unlawful purposes.
• You may not share credentials or access controls with unauthorized users.
• Operators and sellers may need to complete identity, tax, and payout onboarding.

3. Marketplace Role

Where the Services facilitate transactions between buyers and sellers, Cliqket generally acts as a platform provider and intermediary. Unless we are explicitly listed as the seller or marketplace operator for a particular transaction, we do not own, possess, inspect, or guarantee the items, tickets, bookings, memberships, services, or other offers listed by users or third-party operators.

Sellers and marketplace operators are responsible for their listings, rules, fulfillment, availability, representations, customer communications, and compliance with applicable law.

4. Transactions, Fees, and Payments

Payments may be processed through Stripe or other supported payment providers. By using payment features, you agree to the applicable payment provider terms, including Stripe's Connected Account Agreement and Services Agreement.

Cliqket, marketplace operators, payment providers, sellers, and service providers may charge fees. A marketplace may choose whether certain fees are paid by the buyer, paid by the seller, absorbed by the marketplace operator, or otherwise included in the transaction price. Fees are disclosed in the applicable checkout, listing, dashboard, or agreement where required.

Marketplace operators and sellers are responsible for taxes, reporting, refunds, chargebacks, disputes, and regulatory obligations that apply to their activity unless we expressly agree otherwise in writing.

5. Listings, Sellers, and Fulfillment

Listings must be accurate, lawful, and not misleading. Sellers must have the right to sell what they list and must fulfill orders, bookings, tickets, memberships, or services according to the terms shown to the buyer.

Physical goods, shipping, seller access, prohibited items, returns, and disputes may also be governed by marketplace-specific policies and our Seller Policy and Shipping Policy.

6. User Content

You may submit content through the Services, including listings, images, messages, reviews, posts, profiles, page copy, files, and prompts ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant Nerdbeak a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, modify, and distribute that content as needed to operate, secure, improve, promote, and provide the Services. You represent that you have the rights needed to submit the content and grant this license.

We may remove, restrict, or modify User Content if we believe it violates these Terms, marketplace rules, law, third-party rights, or platform integrity.

7. AI-Assisted Features

The Services may use AI to help generate marketplace drafts, page copy, category structures, listing descriptions, pricing suggestions, operational recommendations, support triage, moderation signals, and other workflow outputs.

• AI output may be incomplete, inaccurate, or inappropriate for your market.
• You are responsible for reviewing output before publishing or relying on it.
• Pricing, demand, and operational suggestions are estimates, not financial, legal, tax, or professional advice.
• Content you submit may be processed by AI systems as described in our Privacy Policy.

8. Prohibited Conduct

You agree not to:

• Violate any law, regulation, payment-network rule, or marketplace policy
• Engage in fraud, deception, money laundering, fee avoidance, or abuse
• List counterfeit, stolen, unsafe, illegal, or prohibited items or services
• Harass, threaten, impersonate, spam, or abuse other users
• Interfere with security, rate limits, access controls, or platform operations
• Scrape, crawl, copy, or harvest data without permission
• Upload malware or attempt unauthorized access to systems or accounts
• Use the Services to infringe intellectual property or privacy rights

9. Intellectual Property

The Services, including software, designs, interfaces, trademarks, logos, infrastructure, templates, and platform content we provide, are owned by Nerdbeak or its licensors and are protected by intellectual property laws.

You may not copy, modify, reverse engineer, resell, or exploit the Services except as permitted by these Terms or a separate written agreement.

DMCA and IP Takedowns

If you believe content on the Services infringes your rights, contact us at ricky@nerdbeak.com with the information required by the Digital Millennium Copyright Act. We may remove allegedly infringing content and may terminate repeat infringers.

10. Third-Party Services

The Services may integrate with third-party services, including payment providers, hosting providers, analytics tools, authentication providers, shipping tools, communications tools, storage providers, and AI model providers. Your use of those services may be subject to their own terms and privacy policies.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Nerdbeak disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or that any marketplace, listing, AI output, pricing suggestion, transaction, or user content will meet your expectations.

12. Limitation of Liability

To the fullest extent permitted by law, Nerdbeak, Inc., its officers, directors, employees, agents, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, or business interruption.

Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you paid to Nerdbeak for the Services in the twelve months before the claim, or (b) one hundred dollars ($100).

13. Indemnification

You agree to indemnify and hold harmless Nerdbeak, Inc. and its officers, directors, employees, agents, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Services, your User Content, your marketplace activity, your violation of these Terms, or your violation of law or third-party rights.

14. Suspension and Termination

We may suspend, restrict, or terminate access to the Services at any time if we believe activity violates these Terms, creates risk, harms users, exposes us or others to liability, or threatens platform integrity. You may stop using the Services at any time.

Termination does not relieve you of obligations incurred before termination, including pending transactions, fees, refunds, disputes, or legal obligations.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing a legal claim, you agree to contact us at ricky@nerdbeak.com and try to resolve the dispute informally for at least thirty days.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date and provide additional notice where required by law. Your continued use of the Services after changes take effect means you accept the updated Terms.
